We are excited to announce an opening for an experienced, detail-oriented Corporate Paralegal with a strong foundation in corporate and real estate law. A prestigious Providence, RI law firm is currently seeking this professional to enhance its dynamic legal team. This is a prime opportunity to take ownership of a diverse docket of corporate transactions while providing necessary support on litigation files.
In this role, you’ll be indispensable to our attorneys, handling entity formations, managing key contracts, ensuring corporate governance compliance, executing real estate closings, and preparing essential legal documentation. Salary Range:
$75,000-$80,000 per year, commensurate with experience

Key Responsibilities of the Corporate Paralegal:
Draft, review, and maintain all corporate governance documents, including operating agreements, bylaws, and written resolutions.
Prepare and process new entity formations and dissolutions with relevant state and federal agencies.
Manage and update corporate minute books, stock ledgers, and ensure full compliance with all recurring filing requirements.
Assist in conducting due diligence and managing the closing process for mergers, acquisitions, and real estate purchases/sales.
Draft and proof essential transaction documents such as contracts, deeds, leases, and closing certificates.
Conduct complex legal research utilizing specialized databases and prepare clear, concise summaries for attorneys.
Provide necessary litigation support, including organizing case files, coordinating discovery requests, and assisting with pre-trial preparation.
Serve as a professional point of contact for clients, opposing counsel, and various regulatory bodies.
Qualifications of the Corporate Paralegal:
Minimum of 3 years of paralegal experience, with a focus on corporate or real estate law (prior litigation support experience is highly beneficial).
Bachelor’s degree and/or Paralegal Certificate from an accredited institution is required.
Deep understanding of corporate compliance, entity maintenance filings, and real estate documentation standards.
Proficiency in Microsoft Office Suite and professional legal research platforms (e.g., Westlaw, LexisNexis).
Exceptional attention to detail, superior organizational skills, and proven ability to manage multiple complex priorities under deadline.
Excellent written and verbal communication skills.
Direct familiarity with Rhode Island and Massachusetts state filing procedures (highly preferred).
